Welcome to CaterHub! These Terms of Service ("Terms") govern your use of the CaterHub platform, website, mobile application, and related services (collectively, the "Platform") operated by Webapplix LLC DBA CaterHub ("CaterHub," "we," "us," or "our").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use our Platform.

2. Description of Service

CaterHub provides a technology platform that connects users with catering providers and food services. We facilitate the discovery, ordering, and delivery of catering services but do not directly provide food or catering services.

Important: CaterHub acts as an intermediary platform. We are not a catering provider ourselves, and we do not employ the catering providers listed on our Platform. All food preparation and delivery services are provided by independent third-party catering providers.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years old to use our Platform. By using our Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Communications and Notifications

4.1 Consent to Electronic Communications

By creating an account and using our Platform, you expressly consent to receive electronic communications from us, including emails and text messages (SMS) to the email address and phone number you provide during registration or account updates.

4.2 Types of Communications

We will send you electronic communications for the following purposes:

• Transactional Communications: Order confirmations, delivery updates, payment notifications, account security alerts, and other service-related messages
• Marketing Communications: Promotional offers, new restaurant announcements, seasonal deals, catering recommendations, and other marketing content
• Administrative Communications: Platform updates, policy changes, and important account notifications

4.3 Opt-Out Options

While you cannot opt out of essential transactional communications related to your orders and account security, you may opt out of marketing communications at any time by:

• Clicking the unsubscribe link in our marketing emails
• Replying "STOP" to our marketing text messages
• Updating your communication preferences in your account settings

4.4 Message Frequency and Charges

Message frequency varies based on your activity and preferences. Standard message and data rates may apply as determined by your mobile carrier. We are not responsible for any charges incurred from your mobile carrier.

5. Acceptable Use

You agree not to use our Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems to access the Platform without permission
• Collect or harvest information about other users
• Post false, misleading, or fraudulent information
• Engage in any commercial activity without our prior written consent

6. Orders and Payments

6.1 Order Process

When you place an order through our Platform, you are entering into a contract directly with the catering provider. CaterHub facilitates this transaction but is not a party to the contract between you and the catering provider.

6.2 Pricing and Payment

All prices displayed on our Platform are provided by the catering providers and are subject to change without notice. You agree to pay all charges associated with your orders, including applicable taxes, fees, and gratuities.

6.3 Cancellations and Refunds

Cancellation and refund policies vary by catering provider. Please review the specific policy for each provider before placing your order. CaterHub may facilitate refund requests but is not responsible for refund decisions.

7. Catering Provider Relationships

Independent Contractors: All catering providers on our Platform are independent contractors. CaterHub does not employ, supervise, or control catering providers.

Provider Onboarding: Some catering providers may not be pre-registered with CaterHub. Upon your first order, we may facilitate the provider's registration and onboarding to our Platform.

Quality and Service: While we strive to work with quality providers, CaterHub does not guarantee the quality, safety, or timeliness of services provided by third-party catering providers.

8. Intellectual Property

8.1 Our Content

The Platform and its content, including but not limited to text, graphics, logos, images, and software, are owned by CaterHub or our licensors and are protected by intellectual property laws.

8.2 User Content

By submitting content to our Platform (reviews, photos, etc.), you grant CaterHub a non-exclusive, royalty-free, worldwide license to use, modify, and display such content in connection with our services.

8.3 Trademark Policy

If you believe that your trademark rights are being infringed, please contact us at legal@caterhub.com with detailed information about the alleged infringement.

9. Disclaimers and Limitation of Liability

9.1 Platform Availability

Our Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

9.2 Third-Party Services

We disclaim all liability for the acts, errors, omissions, representations, warranties, breaches, or negligence of any catering providers or for any personal injuries, death, property damage, or other damages or expenses resulting from their services.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATERHUB'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO CATERHUB IN THE 12 MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless CaterHub and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to conflict of law principles.

11.2 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration rather than in court, except for small claims disputes or injunctive relief.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Termination

We may terminate or suspend your account and access to our Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will cease immediately.

13. Changes to Terms

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
